General sales conditions for reseller

GENERAL SALES CONDITIONS YEAR 2023

1)    The goods travel at the risk of the Customer.
2)    All prices are stated excluding VAT and ex works (Incoterms 2020). Shipping costs are calculated on the basis of the distance and weight/volume of the parcel.
3)    Aria Preziosa S.r.l. will not accept unauthorized returns and complaints 15 days after the receipt of the goods. 
4)    All requests for items which are not included in the current pricelist will be accepted only after confirmation of the quotation that ARIA PREZIOSA S.r.l. will send to Customer within 15 days.
5)    In the event of late payment, penalties shall be applied, the interest rate of which shall be calculated by adding three percentage points to the discount previously granted.
6)    Payments are to be made directly to ARIA PREZIOSA S.r.l. Payments made to third parties will not be accepted, unless there is a special agreement / unless otherwise agreed. The Customer shall pay 30% of the total value in advance upon order confirmation and the rest of the sum before the shipment, unless otherwise formally agreed. 

If the Customer is more than 8 days late in issuing the payment for the rest of the invoice, ARIA PREZIOSA S.r.l. shall/can claim a contribution for the warehouse's handling of €50,00 – VAT excluded – per day, until the order is collected. All changes in the order will be rejected, if communicated after order's confirmation.
7)    Each order proposal by costumer must be accepted by the Seller. In case of no formal acceptance of the order by ARIA PREZIOSA S.r.l. within 15 days of receipt, the order will be understood as accepted. In Case of first orders, the minimum amount will be agreed with ARIA PREZIOSA S.r.l., this is to guarantee the right quantity and variety of assortment for the sales outlet. For further orders, ARIA PREZIOSA S.r.l. don't accept orders for a total amount of less than €200,00 excluding VAT. ARIA PREZIOSA S.r.l. will inform the Customer in the event of shipping times of more than 30 working days from the order.
8)    All products manufactured and/or distributed by ARIA PREZIOSA S.r.l. have a recommended retail price. In the event that the Reseller fails to respect the mentioned sales price, Aria Preziosa shall have the right to stop supplying the Customer, unless claims for damages to the reputation of the products manufactured and/or distributed by Aria Preziosa.
9)    The Reseller/Dealer shall not sell the Company’s products by any other means (e.g. online) than the traditional retail outlets without a written permission of  Aria Preziosa S.r.l. Furthermore, no distinctive signs (e.g. logos) or images identifying Aria Preziosa S.r.l. shall be used on the internet, without direct authorization. 
10)    For any disputes, the jurisdiction is located in Vicenza (ITA). 
The clauses in paragraphs 4,5,6,7,8,9 are herewith approved. Please, inform us of any errors/omissions on your personal and fiscal data. Without your communication, the data on our order confirmation will remain valid, and we will be not responsible in the event of a sanction.

We hereby agree with the data processing, as Art.13 of the Legislative Decree No.196 dated 30th June 2003 and GDPR 2016/679.

These Sales Conditions (vs 06/2023) are valid until a new version is released.
